Access to and use of WatchRadar.io are subject to the Terms and Conditions and our Data Privacy Policy.

Scope
1.1 AI Radar Limited, 2304A Perfect Industrial Building, 31 Tai Yau Street, San Po Kong, Hong Kong (hereinafter "AI Radar") is the owner and operator of WatchRadar.io, an online price comparison service for listed watches (hereinafter "platform" or "Watch Radar").

1.2 The following "General Platform Terms and Conditions" apply to the free use of the platform that are directly provided via the internet, on mobile devices, by email or by telephone.

1.3 The General Platform Terms and Conditions can be downloaded and printed in the current version at https://www.watchradar.io/terms/ or the duration of the agreement.

1.4 By using our website, you confirm that you have read, understand and agree to these terms and conditions, as well as the Data Privacy Policy, including the use of cookies.

Contract and Service Description
2.1 Sending the online registration represents a legally binding offer to form a contract with Watch Radar. The user shall be notified by e-mail of receipt of his/her registration enquiry. However, a visitor agreement shall not as yet come into effect. The user account will not become active until it is activated by Watch Radar. A visitor agreement shall only come into effect when the user account is activated by Watch Radar.

2.2 Watch Radar offers registered users the technical possibility of contacting third party watch sellers via the platform. In such cases, Watch Radar is not the contractual party for the user, but only an agent providing the technical connection to a third party watch seller or the site of a third party watch seller. (section 5)

2.3 Watch Radar itself does not offer items for sale on the platform. Sellers' ads retrievable on the platform do not represent any legally binding offer of sale to enter a purchase agreement, but are merely a non-binding invitation to the provider to submit offers of sale.

2.4 Any contractual relationship will be formed exclusively between the seller and the user. The fulfillment of contracts initiated on the platform shall also take place exclusively between the seller and the user.

User Obligations
3.1 The user must refrain from any activity including, copying of data and/or other content and distribution and/or public display of any content from the platform without the approval of Watch Radar.

3.2 Avoiding the search forms, particularly by using automated search software to access Watch Radar's databases, is not permitted when searching for offers.

3.3 Data and contents obtained or made accessible to the user through search queries or using the platform may not be used in full, in part or as extracts
for commercial utilisation of data or to supply information and/or
for any other commercial use.

3.4 The user guarantees not to use the Watch Radar services to create content that:
is not objective or intentionally untrue,
immoral or in any other way offensive,
violate applicable law in section 10.2 in any way or constitutes a criminal offense,
is a survey or chain letter,
is aimed at collecting or using personal data from other users, especially for commercial purposes.

Use of the Platform
4.1 Information provided upon registration and after registration, if any, shall remain confidential.

4.2 Watch Radar provides free functions to registered users, which facilitate use of the platform, particularly the search for offers, and management of user accounts, including development of Your Collection. Registered users can also enjoy communication with providers.

Registration, User Account and User Information
5.1 A valid e-mail address and a password are required to register. The e-mail address and the password also serve as login details. Only one user account can be created with the same e-mail address. The e-mail address is also used for communication with Watch Radar and is essential for all contractually relevant correspondence between Watch Radar and the user.

5.2 The password is confidential and strictly personal. Care must be taken to ensure that access to the user account is secure. Users are obliged to notify Watch Radar immediately if there are signs that a user account has been misused by third parties.

5.3 The user is not entitled without the express consent of Watch Radar to transfer the profile to a third party. Neither is the user entitled without the express consent of Watch Radar to enable third parties to access his/her user account using his/her login details.

5.4 The user shall in principal be liable for all activities that take place while using his/her user account. The user shall not be liable if he/she is not responsible for the misuse of his/her user account because there is no breach of the existing duty of care.


Term of Contract, Termination, Blocking
6.1 The visitor agreement is for an indefinite period and can be terminated with immediate effect at any time.

6.2 The right of the parties to end the contractual relationship by means of extraordinary termination for good cause remains unaffected. A good cause for Watch Radar to terminate this agreement without notice is if the user persistently infringes his/her duties as stipulated in this agreement.

6.3 In the event of a good cause that allows termination without notice, Watch Radar may at its discretion deny access to the user account instead of termination. Watch Radar may also block access if the user has not used his/her login details for a period of at least one year.

6.4 Termination will result in the user not having access to his/her user account. Termination by Watch Radar shall be deemed valid, amongst other things, if the user is duly notified at the e-mail address that he/she has provided.

Warranty and Liability
7.1 Watch Radar strives to provide and operate a non-disruptive and durable platform. This is naturally restricted to services over which Watch Radar has an influence. The user however acknowledges that full, uninterrupted platform availability is not technically feasible. Watch Radar is particularly at liberty to restrict access to the platform in full or in part, on a temporary or long-term basis, due to maintenance work, capacity considerations and due to other events outside the power of Watch Radar.

7.2 Watch Radar does not in principal pre-check the commercial offers posted on the platform. Watch Radar is not liable for the accuracy, quality, completeness, realiability or credibility of content. Watch Radar cannot therefore give an assurance that the information and commercial offers posted on the platform are correct, accurate, reliable, up-to-date, applicable and/or complete. There is no claim either that the contents and commercial offers as posted are free from defects.

7.3 Watch Radar is not liable in the case of an ordinary negligent infringement of obligations, which are not material obligations, whose initial fulfilment enables the due performance of the agreement and compliance with which the user may regularly depend upon.

7.4 Liability is excluded to the extent permitted by law for ordinary negligence of duty affecting the availability of the platform or its contents.

7.5 The above liability restrictions apply analogously in the case of damage caused by authorised agents, particularly partners. Watch Radar is not liable for the actions of users or other third parties. Neither do such third parties act as vicarious agents for Watch Radar. Liability for indirect and consequential damages is - to the extent permitted by law - excluded.

7.6 The liability of Watch Radar for malicious intent, gross negligence, personal injury and pursuant to statutory regulations remains unaffected by the above liability restrictions.

7.7 All agreements that arise through this platform are between the Watch Radar user and the respective external counterparty. In particular, trivago does not act as organiser or travel agency at any time. The terms and conditions of the respective organiser or travel agency apply exclusively, especially regarding the right to cancel and to withdraw.

Data Protection
8.1 Data protection is subject to Watch Radar's Data Privacy Policy.

Right of Indemnity
9.1 The user shall hold Watch Radar and its staff and/or appointees harmless from all third-party claims in the event that a claim is asserted on account of purported or actual legal infringements and/or infringement of third-party rights in connection with use of the platform or services of Watch Radar by the user.

9.2 The user shall undertake to reimburse Watch Radar all potential costs arising from a third-party claim. Reimbursable costs shall also include the costs of appropriate litigation and legal defence, which Watch Radar would incur to defend itself from third-party claims. In this case Watch Radar shall notify the affected user without delay of the legal defence measures to be taken.

Final Provisions and Applicable Law
10.1 If one or more provisions of the contractual provisions are or become inapplicable, this shall not otherwise affect the applicability of the other provisions.

10.2 The Basic Law of the Hong Kong Special Administrative Region of the People's Republic of China applies.

10.3 Watch Radar is entitled to transfer this visitor agreement, including all additional agreements with all right and obligations, to a company of its choice. In the event that this agreement is transferred to another company, the user shall have a special right of termination, which must be asserted in writing within 14 days of notification by Watch Radar. In this notification Watch Radar shall refer separately to the significance of the user's action.

10.4 The place of jurisdiction for all disputes arising from and in connection with business persons or individuals that do not have general jurisdiction in Hong Kong applies as the place jurisdiction. Otherwise the legal jurisdiction applies.
